STANDARD TERMS AND CONDITIONS OF SALE



  1. Introduction
    1.1 These terms and conditions govern the provision of online consultation services by our business.

    1.2 By engaging our services, you agree to be bound by these terms and conditions.

    1.3 We reserve the right to amend these terms and conditions at any time, without prior notice.

    Consultation Services
    2.1 We will provide online consultation services to you as agreed upon in writing or via email.

    2.2 We will use reasonable skill and care in the provision of our services.

    2.3 We reserve the right to decline any online consultation service request at our discretion.

    Fees and Payment
    3.1 Fees for our online consultation services will be agreed upon in writing or via email.

    3.2 Payment for our services is due upon receipt of our invoice, which will be sent to you upon completion of our services.

    3.3 Late payment may result in the suspension of our services until payment is received.

    Online Conduct
    4.1 You agree to conduct yourself in a professional manner during online consultations and to treat our consultants with respect.

    4.2 We reserve the right to terminate any online consultation session if we believe that you are not conducting yourself in a professional manner.

    Confidentiality
    5.1 We will treat all information provided by you as confidential and will not disclose it to any third party without your prior consent.

    5.2 We will not use any information provided by you for any purpose other than the provision of our services.

    Liability
    6.1 We will not be liable for any loss or damage arising out of or in connection with the provision of our online consultation services, except where such loss or damage arises as a result of our negligence or breach of these terms and conditions.

    6.2 Our liability for any loss or damage arising out of or in connection with the provision of our online consultation services shall be limited to the amount paid by you for such services.

    Termination
    7.1 Either party may terminate our agreement upon giving written notice to the other party.

    7.2 Upon termination, you shall pay all fees due and owing for our online consultation services up to the date of termination.

    Governing Law
    8.1 These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which our business is located.

    8.2 Any dispute arising out of or in connection with these terms and conditions shall be resolved through arbitration in accordance with the rules of the relevant arbitration body.
  2. Payment Terms

​All payments are due within 30 days from the date of invoice. Late payments may be subject to a late fee of 5% of the amount due.

​Payments can be made via cash, check, bank transfer, credit card. 


​Please make checks payable to Actuator Limited.  


​All prices are listed in Hong Kong Dollar.


​No refund will be made once the invoice was confirmed by the client.
